IMPORTANT - READ CAREFULLY

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, referred to as "Licensee," "you," or "your") and JMedCare ("Licensor," "we," "us," or "our") for the JMedCare Healthcare Management System software product.

BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE.

1. GRANT OF LICENSE

1.1 License Grant

Subject to the terms and conditions of this Agreement and payment of applicable license fees, Licensor grants Licensee a non-exclusive, non-transferable, limited license to:

  • Install and use the Software on a single server or computing environment
  • Access and use the Software through the number of user accounts specified in your license tier
  • Use the Software solely for your internal healthcare management operations
  • Make one (1) backup copy of the Software for archival purposes only

1.2 License Tiers

The Software is licensed under the following tiers:

Basic License

  • Up to 10 concurrent users
  • Single installation
  • Email support (48-hour response)
  • Monthly updates

Professional License

  • Up to 50 concurrent users
  • Single installation
  • Priority support (24-hour response)
  • Weekly updates
  • Custom branding options

Enterprise License

  • Unlimited concurrent users
  • Multiple installations
  • Premium support (4-hour response)
  • Daily updates
  • Custom features & integrations
  • Dedicated account manager

1.3 License Key

Each license is tied to a unique license key and hardware identifier. The Software will validate the license key periodically with our license server. Unauthorized use, modification, or distribution of license keys is strictly prohibited.

2. LICENSE RESTRICTIONS

You may NOT:

  • Reverse Engineer: Decompile, disassemble, reverse engineer, or attempt to derive the source code of the Software
  • Modify: Alter, modify, adapt, or create derivative works of the Software
  • Distribute: Rent, lease, lend, sell, redistribute, or sublicense the Software
  • Transfer: Transfer your rights under this license to any third party without prior written consent
  • Remove Notices: Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
  • Circumvent Protection: Bypass, disable, or circumvent any license validation, encryption, or security features
  • Share Credentials: Share your license key or user credentials with unauthorized parties
  • Competitive Use: Use the Software to develop competing products or services
  • Illegal Use: Use the Software for any illegal, fraudulent, or unauthorized purpose

3. OWNERSHIP AND INTELLECTUAL PROPERTY

3.1 Ownership

The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any rights to trademarks, service marks, or trade names of Licensor.

3.2 Proprietary Rights

The Software contains proprietary and confidential information protected by intellectual property laws and international treaties. Unauthorized copying, distribution, or use of the Software may result in severe civil and criminal penalties.

3.3 Your Data

You retain all rights to the data you input, store, or process using the Software ("Customer Data"). Licensor does not claim ownership of Customer Data.

4. TERM AND TERMINATION

4.1 Term

This Agreement is effective upon installation of the Software and continues until terminated as provided herein.

4.2 Subscription Term

If you have purchased a subscription license, the term is as specified in your order (monthly, annually, etc.) and will automatically renew unless cancelled at least 30 days before the renewal date.

4.3 Termination by Licensee

You may terminate this Agreement at any time by:

  • Ceasing all use of the Software
  • Destroying all copies of the Software in your possession
  • Providing written notice to Licensor

4.4 Termination by Licensor

Licensor may terminate this Agreement immediately if you:

  • Breach any term of this Agreement
  • Fail to pay applicable license fees
  • Use the Software in violation of applicable laws
  • Attempt to circumvent license validation mechanisms

4.5 Effect of Termination

Upon termination:

  • All rights granted under this Agreement immediately cease
  • You must cease all use of the Software
  • You must destroy all copies of the Software
  • Outstanding payment obligations remain due
  • Sections 3, 5, 6, 7, 8, 9, and 10 survive termination

5. UPDATES AND SUPPORT

5.1 Updates

Licensor may provide updates, upgrades, patches, and bug fixes ("Updates") at its discretion. Updates may be delivered automatically or require manual installation. You agree to install critical security updates promptly.

5.2 Support Services

Support services are provided according to your license tier:

  • Basic: Email support, 48-hour response time
  • Professional: Email and phone support, 24-hour response time
  • Enterprise: Priority support, 4-hour response time, dedicated account manager

6. WARRANTY DISCLAIMER

6.1 AS-IS BASIS

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

6.2 No Guarantee

Licensor does not warrant that:

  • The Software will meet your specific requirements
  • The Software will operate uninterrupted or error-free
  • All errors or defects will be corrected
  • The Software is compatible with all hardware and software configurations

6.3 Healthcare Disclaimer

THE SOFTWARE IS A TOOL TO ASSIST HEALTHCARE PROFESSIONALS. IT IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL JUDGMENT.

LICENSEE IS SOLELY RESPONSIBLE FOR:

  • Accuracy of data entered into the Software
  • Clinical decisions made using the Software
  • Compliance with medical standards and regulations
  • Patient safety and care quality

7. LIMITATION OF LIABILITY

7.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOSS OF PROFITS, REVENUE, DATA, OR USE, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS OR SERVICES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR USE OF THE SOFTWARE.

7.2 Maximum Liability

LICENSOR'S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. DATA PROTECTION AND PRIVACY

8.1 Data Processing

You are the data controller for Customer Data. You are responsible for:

  • Obtaining necessary consents from patients and users
  • Complying with applicable data protection laws (GDPR, HIPAA, etc.)
  • Implementing appropriate security measures
  • Managing data retention and deletion

8.2 License Validation Data

Licensor collects limited data for license validation purposes:

  • License key and hardware identifier
  • Software version and installation date
  • Domain and validation timestamps

This data is used solely for license management and is not shared with third parties.

9. COMPLIANCE AND REGULATIONS

9.1 Healthcare Regulations

You are solely responsible for ensuring your use of the Software complies with all applicable healthcare regulations, including but not limited to:

  • HIPAA (Health Insurance Portability and Accountability Act)
  • GDPR (General Data Protection Regulation)
  • Local medical practice regulations
  • Patient privacy laws
  • Medical record retention requirements

10. GENERAL PROVISIONS

10.1 Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the Software and supersedes all prior agreements, understandings, and communications.

10.2 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to conflict of law principles.

10.3 Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. ACKNOWLEDGMENT

BY INSTALLING OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.

IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF AN ORGANIZATION, YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO BIND THAT ORGANIZATION TO THESE TERMS.
